Xbox LIVE Rewards Gamer IQ
Official Rules

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility: Xbox LIVE Rewards Gamer IQ (the “Competition”) is open only to legal residents of the fifty (50) United States (including DC) and the United Kingdom who are at least eighteen (18) years old at the time of entry and an Xbox LIVE Rewards member as of the start date of the Competition. Employees of Microsoft Corporation, ePrize, LLC, and their parent and affiliate companies, suppliers as well as their family and household members are not eligible. The Competition is subject to all applicable laws and regulations and is void where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Promoter and judge’s decisions, which are final and binding in all matters related to the Competition. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Competition consists of a Prize Draw (the “Prize Draw”) and an instant win game (the “Instant Win Game”).

2. Promoter: Microsoft Corporation, One Microsoft Way, Redmond, WA 98052 U.S.A. Administrator: ePrize LLC, One ePrize Drive, Pleasant Ridge, MI 48069 U.S.A.

3. Timing: The Competition begins on April 1, 2011 at 12:00 p.m. Eastern Time ("ET") and ends on May 15, 2011 at 11:59 p.m. ET (the "Competition Period"). The Prize Draw consists of seven (7) weekly entry periods (each a "Weekly Entry Period") as set forth in the chart below:

Administrator’s computer is the official time keeping device for this Competition.

4. How to Enter: During the Competition Period visit http://xboxrewards.promo.eprize.com/gamer-iq and fill out the online entry form completely, and submit the form. You will automatically be entered with one (1) entry into the Prize Draw and one (1) Instant Win Game play for that day. The Instant Win Game results will be instantly displayed. You will be responsible for the incidental costs of airtime and telephone time incurred when logging onto the web site to register and browse as charged by your telephone and internet providers. Entrants will be notified immediately if they are potential winners of the Instant Win Game and will be provided directions for validation. Administrator is responsible for the functionality of the Instant Win Game. Limit: One (1) Instant Win Game play/Prize Draw entry per person per email address per day during the Competition Period. Any attempt by any entrant to obtain more than the stated number of entries or plays by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant’s entries or plays and that entrant may be disqualified.

Use of any automated system to participate is prohibited and will result in disqualification. Promoter is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. In the event of a dispute as to any registration or play, the authorised account holder of the email address used to register will be deemed to be the entrant or player. The “authorised account holder” is the natural person assigned an email address by an Internet access provider, online service provider, Internet service provider or other organisation responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorised account holder.

Additional Prize Draw Entries: During the Competition Period you will have the opportunity to answer up to thirty-three (33) trivia questions. For each trivia question you correctly answer you will receive one (1) additional Prize Draw entry. Limit: Thirty-three (33) additional Prize Draw entries during the Competition Period.

Special Offers: There are two (2) special offers, (each a "Special Offer").

a. Special Offer 1: During the Promotion Period, spend two hundred (200) or more Microsoft Points in the Xbox LIVE Marketplace and you will receive a code for one (1) Halo Banshee Avatar Item ("Special Offer 1"). Limit: One (1) Special Offer 1 per person.

b. Special Offer 2: During the Promotion Period, purchase Halo Reach Defiant Map Pack or Halo Reach Games on Demand and you will receive four hundred (400) Microsoft Points ("Special Offer 2"). Limit: One (1) Special Offer 2 per person. Terms and conditions of Microsoft Points apply. Points expire 12/31/11.

Each Special Offer is a code that will be emailed 8-10 weeks after the end of the Promotion Period.

5. Prize Draw/Instant Win Game: Administrator is an independent judging organization whose decisions as to the administration and operation of the Competition and the selection of potential winners are final and binding in all matters related to the Promotion. Sweepstakes: Administrator will randomly select the potential First Prize winners, from all eligible entries received from each Weekly Entry Period on or around the dates set forth in the chart in Section 3. Non-winning entries will carry over into subsequent Weekly Entry Periods. Administrator will randomly select the potential Grand Prize winner, from all eligible entries received during the entire Competition Period, on or around May 16, 2011. Instant Win Game: Two hundred three (203) random, computer-generated winning times, one for each prize listed below, will be generated during the Competition Period. If you are the first player to play the Instant Win Game at or after one of the randomly generated times, you will be a potential instant winner of the prize indicated.

6. All potential Instant Win Game winners and Prize Draw winners are subject to verification by Promoter or Administrator, whose decisions are final and binding in all matters related to the Competition. An entrant is not a winner of any prize, even if the Instant Win Game or Prize Draw should so indicate, unless and until entrant’s eligibility, and the potential Instant Win Game winner and/or Prize Draw winner have been verified and entrant has been notified that verification is complete. Promoter will not accept screen shots or other evidence of winning in lieu of its validation process. Any play that occurs after the system has failed for any reason is deemed a defective play and is void and will not be honoured.

7. Verification of Potential Winners: Receiving a prize is contingent upon compliance with these Official Rules. The potential Prize Draw winners will be notified by email, telephone, or registered mail after the date of the random draw. If a potential winner of any prize cannot be contacted, the potential winner forfeits his/her prize. In the event that a potential winner of a Grand or First Prize is disqualified for any reason, Promoter will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. There will be three (3) alternate drawings after which the prize will remain unawarded. Unclaimed Instant Win Game Prizes will not be awarded.

8. Prizes:

a. Prize Draw Prizes: ONE (1) GRAND PRIZE: 10,000 Microsoft Points. Approximate Retail Value (“ARV”): $125 USD. SEVEN (7) FIRST PRIZES (1 per Weekly Entry Period) : 4,000 Microsoft Points. ARV: $50 USD. Limit: One (1) Prize Draw Prize per person.

b. Instant Win Game Prizes: FOURTEEN (14) SECOND PRIZES: 1,000 Microsoft Points. ARV: $12.50 USD. TWENTY-FOUR (24) THIRD PRIZES: 800 Microsoft Points. ARV: $10 USD. FORTY-ONE (41) FOURTH PRIZES: 400 Microsoft Points. ARV: $5 UDS. ONE HUNDRED TWENTY-FOUR (124) FIFTH PRIZES: 100 Microsoft Points. ARV: $1.25 USD. Odds of winning an Instant Win Game Prize depend on the number of eligible Instant Win Game plays divided by the number of prizes available. Limit: One (1) Instant Win Game Prize per person.

For All Prizes: No cash equivalent and all prizes are non-transferable and no substitution will be made except as provided herein at the Promoter’s sole discretion. Promoter reserves the right to substitute any listed prize for one of equal or greater value (subject to applicable legal or regulatory limitations) if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use.

9. Release: By receipt of any Prize Draw or Instant Win Game Prize, each winner agrees to release and hold harmless Promoter, ePrize, LLC, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, damage to or loss of property, arising out of participation in the Competition or receipt or use or misuse of any prize. This release does not apply to claims for personal injury or death caused by the negligence of Promoter or Administrator.

10. Publicity: Except where prohibited, participation in the Competition constitutes winners consent to Promoter’s use of winner’s name and country of residence for promotional purposes in any media, worldwide, without further payment or consideration.

11. General Conditions: Promoter reserves the right to cancel, suspend and/or modify the Competition, or any part of it, if any fraud, technical failures or any other factor beyond Promoter’s reasonable control impairs the integrity or proper functioning of the Prize Draw or Instant Win Game, as determined by Promoter in its sole discretion. Promoter reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Prize Draw or Instant Win Game or to be acting in violation of the Official Rules of this or in any other promotion in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Prize Draw or the Instant Win Game may be a violation of criminal and civil law, and, should such an attempt be made, Promoter reserves the right to seek damages from any such person to the fullest extent permitted by law. Promoter’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

12. Limitations of Liability: Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilised in the Competition; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorised human intervention in any part of the entry process or the Competition; (4) technical or human error which may occur in the administration of the Competition or the processing of entries; or (5) any injury or damage to property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Competition or receipt or use or misuse of any prize (other than as a direct result of the Promoter's negligence). If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible. If the Sweepstakes, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed Promoter reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.

13. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

14. Entrant's Personal Information: Participation in the Competition implies authorisation to transfer personal data to the United States for purposes of administration of the Prize Draw. Information collected from entrant is subject to the privacy policy posted on the Competition website. Personal information will be used to: (a) contact potential winners; and (b) if an entrant selects to receive additional information from the Promoter on the entry form, to send additional information to that entrant. Entrants have the right to access, withdraw, and correct their personal data. 16. General: Nothing in these terms and conditions shall be deemed to exclude or restrict any of the winner's or entrant's statutory rights as a consumer.
